Independent commercial and transaction advisory across development-stage and operating infrastructure assets.
Emerald Infrastructure provides commercial and transaction advisory services for clean energy, energy storage, and large-load infrastructure projects across the development lifecycle.
We work with developers, investors, and infrastructure sponsors to support project and portfolio transactions, commercial structuring, and offtake strategy. Our role is focused on clarifying value, managing execution risk, and supporting informed decision-making across acquisitions, divestitures, and commercial negotiations.
Engagements are structured to be flexible, transparent, and aligned with transaction objectives, while remaining independent of capital providers, counterparties, and market participants.

What to Expect
Commercial and transaction advisory engagements are typically structured to align with transaction timelines, development milestones, and counterparty processes. While each engagement is tailored to the specific project or portfolio, most follow one of the engagement structures outlined to the right.
-
Retainer + Success-Based Advisory
(Competitive solicitations, M&A, and divestiture support)
For transaction-oriented engagements where outcomes are milestone-driven or competitive, Emerald Infrastructure typically structures engagements with a modest monthly retainer paired with a success-based fee.
The retainer supports continuous advisory involvement, including market positioning, counterparty engagement, diligence coordination, and transaction process management. Success-based fees are triggered upon achievement of defined commercial outcomes such as contract award, transaction close, or asset sale.
This structure aligns incentives while providing flexibility across extended or uncertain timelines commonly associated with RFPs, bilateral negotiations, and transaction processes.
Brokerage and Introduction-Based Engagements
(Bilateral offtake origination and commercial introductions)
For engagements centered on identifying, introducing, and facilitating bilateral commercial relationships, Emerald Infrastructure may operate under a brokerage-style structure.
Compensation is typically contingent on the successful execution of a commercial agreement between introduced parties and may include a fixed success fee, percentage-based fee, or other mutually agreed structure tied to executed contracts.
These engagements are generally narrow in scope and focused on commercial matchmaking, initial negotiations, and early structuring support rather than ongoing asset management or execution.
Fixed-Scope Advisory Engagements
(Targeted commercial or transaction support)
For discrete advisory needs, Emerald Infrastructure offers fixed-scope engagements with clearly defined deliverables and timelines.
These engagements are well suited for targeted diligence support, transaction strategy development, valuation or market positioning analyses, or limited negotiation assistance. Fees are agreed in advance based on scope and complexity, providing cost certainty for focused support needs.
-
Commercial and transaction advisory engagements are tailored to the specific asset, counterparty, and market context, but often share the following characteristics:
Defined commercial objectives tied to contract execution or transaction outcomes
Flexible timelines reflecting competitive solicitations, regulatory processes, or counterparty dynamics
Close coordination with legal, financial, and technical advisors
Clear separation between advisory support and ownership, investment, or principal roles
Independence from counterparties, utilities, and market operators
Engagements are structured to scale appropriately with transaction complexity while maintaining disciplined scope control and transparent alignment with client objectives.
-
Emerald Infrastructure provides strategic and commercial advisory services only and does not act as a broker-dealer, investment advisor, or fiduciary, nor does it provide legal, tax, or financial advice.
